Glossary
- TPI
- Third-party intermediary. A broker, consultant or aggregator acting between a customer and a supplier.
- Aggregator
- A business that gives brokers access to its supplier panel, terms and back office.
- Sub-broker
- A broker placing business through an aggregator rather than direct supplier agreements.
- Commission book
- The future commission due on live contracts already placed.
- Pass-through
- Commission collected by one party and paid on to another under an agreed schedule.
- Clawback
- Commission recovered by a supplier when consumption or contract terms change.
- LOA
- Letter of authority. The customer's written permission for a broker to act for them.
- AQ
- Annual quantity. The estimated yearly gas consumption of a meter.
- MHHS
- Market-wide half-hourly settlement. Every electricity meter settled on 30-minute data.
- kVA / agreed capacity
- The capacity a site contracts with its network operator, charged whether used or not.
- TCR
- Targeted Charging Review. The banded approach to network charges.
- Share purchase
- Buying the company itself, so contracts and agreements stay in place.
- Asset purchase
- Buying the trade and assets rather than the company.
- TUPE
- The rules transferring employees on their existing terms when a business changes hands.
- BADR
- Business Asset Disposal Relief. A reduced capital gains tax rate on qualifying disposals.
- TOGC
- Transfer of a going concern. An asset sale treated as outside the scope of VAT.
- Earn-out
- Part of the price paid later, dependent on agreed performance measures.
- Deferred consideration
- A fixed part of the price paid at a later date.
- Heads of terms
- The agreed outline of a deal before legal documents are drafted.
- SPA
- Share purchase agreement. The contract that transfers ownership.
- Warranties
- Statements a seller gives about the business, with a capped claims period.
- Non-compete
- A restriction on competing with the business after the sale.
